Terms governing your use of Restaurant Agent

Effective date: April 20, 2026

These Terms of Use ("Terms") govern access to and use of Restaurant Agent websites, applications, dashboards, table QR experiences, voice features, and related services (collectively, the "Services") provided by Restaurant Agent ("we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Restaurants and other venues that subscribe to or configure the Services ("Restaurant Customers") may invite staff and guests to use the Services. If you use the Services on behalf of a Restaurant Customer, you represent that you have authority to bind that organization, and "you" includes that organization.

Accounts and eligibility

You may need an account to access certain features. You agree to provide accurate information, keep credentials confidential, and promptly notify us of unauthorized use. You are responsible for activity under your account except where caused by our gross negligence or willful misconduct.

You must be old enough to enter a binding contract where you live. If you are using guest-facing features as a minor, a parent or guardian may need to accept these Terms on your behalf where required by law.

License to use the Services

Subject to these Terms and your compliance with them, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended business and guest-service purposes. You may not copy, sell, resell, rent, lease, or sublicense the Services except as expressly permitted.

Restaurant Customer obligations

Restaurant Customers are responsible for their use of the Services, including menu accuracy, pricing, allergen and dietary information, compliance with hospitality and consumer regulations, and any content they upload. Restaurant Customers must obtain any consents, rights, and notices required for guest data they collect through the Services and must not use the Services in violation of applicable law.

Acceptable use

You agree not to:

  • Use the Services to violate law, infringe intellectual property, or harm others;
  • Attempt to probe, scan, or test vulnerabilities, or breach security or authentication measures;
  • Interfere with or disrupt the Services, networks, or third-party systems;
  • Reverse engineer, decompile, or disassemble any part of the Services except where prohibited by applicable law;
  • Use automated means to access the Services in a way that imposes unreasonable load or circumvents rate limits;
  • Misrepresent identity, manipulate orders or payments, or commit fraud.

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Services or other users.

Voice, AI, and automated features

Voice and AI-assisted features are provided to assist with hospitality workflows. They may produce inaccurate, incomplete, or inappropriate outputs. You are responsible for reviewing critical information (for example, allergens, medical needs, and payment totals) and should not rely solely on automated responses for decisions with legal, safety, or financial consequences.

Intellectual property

The Services, including software, branding, documentation, and our content, are owned by us or our licensors and are protected by intellectual property laws. Feedback you provide may be used by us without restriction or obligation to you.

You retain rights to content you submit. You grant us a worldwide, non-exclusive license to host, use, reproduce, and display that content solely to provide and improve the Services and as described in our Privacy Policy.

Third-party services

The Services may integrate with payment processors, POS systems, voice and video infrastructure, AI providers, and other third parties. Your use of those services may be subject to separate terms. We are not responsible for third-party services we do not control.

Fees

If you purchase paid features, fees and billing terms are set out in an order, checkout flow, or separate agreement. Unless stated otherwise, fees are non-refundable except as required by law. We may change pricing with reasonable notice where permitted.

Our collection and use of personal information is described in our Privacy Policy.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, SUPPLIERS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF NO FEES APPLIED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnity

You will defend and indemnify us and our affiliates, officers, directors, employees, and agents against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services, or your violation of these Terms or applicable law, except to the extent caused by our misconduct.

Termination

You may stop using the Services at any time. We may suspend or terminate access for operational, legal, or policy reasons, including breach of these Terms. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive termination.

Governing law and disputes

These Terms are governed by applicable law, without regard to conflict-of-law principles that would require applying another jurisdiction's laws, except where mandatory consumer protections apply to you. Courts in the jurisdiction where we are organized may have exclusive jurisdiction for business disputes arising from these Terms, where permitted by law.

Changes

We may modify these Terms from time to time. We will post the updated Terms and revise the effective date. If a change is material, we will provide additional notice where appropriate. Continued use after the effective date constitutes acceptance of the updated Terms, except where prohibited by law.
